Resumen: | La actual reforma contable comprende tanto el modelo como el sistema contable. Este artículo se orienta principalmente hacia el sistema contable, y considera la reforma de la auditoria como el principal sujeto de la materia, desde el punto de vista legal. El artículo está centrado en la actual reforma del sistema contable español, aunque también se ocupa de las recientes novedades sobre la materia en Estados Unidos (la debacle de Enron y la ley Sarbanes-Oxley de 2002) y en Europa, tanto en el plano legislativo como en la reciente doctrina de la Corte Europea de Justicia (Sentencia De Wontess de 12 de febrero de 2002).
La reciente crisis ha forzado a los legisladores a adoptar reglas más severas tanto a directivos como a auditores sobre la revelación de información contable, si bien algunos problemas permanecen abiertos. El primero guarda relación con la eficiencia de la regla de rotación obligatoria, que solamente es aplicable a los equipos que revisan las últimas cuentas anuales, pero no a la propia firma de auditoria, a quien se permite auditar per saecula saeculorum al mismo cliente. La última cuestión es la discusión sobre la responsabilidad civil de los contables ante terceras personas -esto es, accionistas e inversores, quienes están en el verdadero corazón del problema y necesitan la mayor ayuda de un renovado sistema contable para recuperar la confianza Current Accounting Reform involves both Accounting Model and Accounting System. This article deals mostly with the Accounting System, and takes the Audit Reform as the main subject of the matter from the legal point of view. The article focuses on the current Accounting System Reform in Spain, but it refers also to the recent issues on this matter in the USA (Enron Debacle, Sarbanes/Oxley Act of 2002) and in the European Union, both in the field of Legislation and in recent European Justice Court doctrine (de Wouters judgment of February, 12th, 2002). The recent crisis have forced legislators to pass more severe rules for both officers and auditors on accounting disclosure, but some open problems remain. The first one deals with concerns about efficiency of the mandatory rotation rule, which recents laws apply only to the teams that revised the last annual accounts, but not to the Auditing firm itself, which is allowed auditing the same client per saecula saeculorum. The last issue thereon is the discussion about the Accountants civil liability before third persons -that is, shareholders and investors-, who are at the very heart of the problem and need the most the help of a renewed Accounting System to recover confidence |
